Terms of Use

These Terms of Use (“Terms of Use”), which incorporate the Company’s Privacy Policy, constitute a legally binding agreement between you (“user”, “independent contractor/1099”) and Taggr Solutions and its representatives, officers, affiliates and directors (collectively, “Taggr”) governing your use of Taggr’s digital marketplace platform and any related content or services.

Notwithstanding the foregoing, if you choose, now or in the future, to make your parking location available for enforcement, these Terms of Use do not supersede or otherwise impact any other agreements you have with Taggr.

To use our Services, you must agree to these Terms of Use when you open your account with us.

When you enter and use the Site, you accept and are bound by these Terms of Use. The company may change these Terms of Use at any time at its sole and exclusive discretion by posting any revised terms on the Site. You should check periodically for any changes. If you continue to use the Site after a change is made, you accept and are bound by the updated Terms of Use.

Supplemental terms may apply to certain Services, such as special activities or promotions, and such supplemental terms will be disclosed to you in connection with the applicable Services. Supplemental terms shall prevail over these Terms in the event of a conflict with respect to the applicable Services.

Account Registration

When an Independent Contractor/1099 applicant creates an account with Taggr Solutions LLC, we will request full name, email address, birth date, phone number, insurance, and any other relevant information for verifying the applicant’s identity. Prior to an applicant’s request to be a Taggr, the applicant will be required to undergo a phone interview, a background check, attend training sessions, watch a series of tutorials, and pass a quiz with a score of 90% or higher.

Taggr Information

If users apply to be a Taggr, we may collect the information submitted in the user’s application, including name, email address, phone number, birthdate, profile photo, physical address, government identification number, driver’s license information, personal/business insurance, vehicle information, and car insurance information. We request users to connect a bank account through Stripe connect to receive payouts. Depending on the user’s location, we may also ask for additional business licenses, certificate of insurance (COI), permit information or other information to manage services relevant to that location.

Eligibility

The Services are offered for your personal use only. You represent and warrant that you are at least 18 (eighteen) years of age. Otherwise, you’re not permitted to use the Service. We reserve the right to refuse to offer the Services to any person or entity and change eligibility criteria anytime. You are responsible for complying with all applicable laws. It is the user’s sole responsibility to review and ensure that their current and/or former employment contracts allow them to work with Taggr. The Taggr platform may only be used by individuals who have the right and authority to enter into this Agreement and are fully able and competent to satisfy the terms, conditions, and obligations herein. The Taggr platform is not available to Users who have had their User account temporarily or permanently deactivated. Each person may only create one User account, and Taggr reserves the right to deactivate any additional or duplicate accounts.

Insurance

All Independent Contractors are required to have personal/business liability insurance. Taggr Solutions, LLC is not required to provide insurance, such as worker’s compensation or general liability to independent contractors/1099. Independent contractors/1099 are responsible for obtaining their own insurance coverage, including general liability, professional liability, or any other types of coverage that suits their needs.

Registration

To use the Services, you will be required to register your account. When you set up your Account and user profile, you must provide accurate and complete information. It is your responsibility to keep your Account information current. You are not permitted to: (i) select or use as a username a name of another person with the intent to impersonate that person; (ii) use as a username a name subject to any rights of a person other than you without appropriate authorization; (iii) use, as a username, a name that is otherwise offensive, vulgar or obscene. Do not use another person’s Account or registration information for the Services without permission. You are responsible for keeping your password private. You must notify us immediately of any breach of security or unauthorized use of your Account.

Relationship with Taggr

This is not an employment agreement, and you are not an employee. You confirm the existence and nature of that contractual relationship each time you access our Platform. We are not hiring or engaging you to provide any service; you are engaging us to provide you access to our Platform. Nothing in this Agreement creates, will create, or is intended to create any employment, partnership, joint venture, franchise or sales representative relationship between you and us. You have no authority to make or accept any offers or representations on our behalf.

Network Access and Devices

You are responsible for obtaining the data network access necessary to use the Services. Your mobile network’s data and messaging rates and fees may apply if you access or use the Services from a wireless-enabled device. You are responsible for acquiring and updating compatible hardware or devices necessary to access and use the Services and any updates thereto. We do not guarantee that the Services, or any portion thereof, will function on every hardware or device. In addition, the Services may be subject to malfunctions and delays inherent in the use of the Internet and electronic communications.

Communication Applications

By creating an Account, you agree that the Services may send you informational text (SMS) messages or notifications as part of the normal business operation of your use of the Services. You may opt-out of receiving text (SMS) messages from us at any time, or you may opt-out of alternative notifications by deactivating your account. Generally, you may not opt-out of communications which are not promotional in nature. You acknowledge that opting out of receiving text (SMS) messages and other notifications may impact your use of the Services.

Content and User Content

“Content” includes parking reservations, validations, permits, subscriptions, user photos and information, location information, videos, audio clips, written posts and comments, information, data, text, software, scripts, graphics, and interactive features generated, provided, or otherwise made accessible on or through the Services. All Content that is added, created, uploaded, submitted, distributed, or posted to the Services by you or other users is called “User Content.” User Content is the sole responsibility of the originator. All Content that you access by using the Services is at your own risk.

The format and content of the Services is protected by U.S. and international copyright. We reserve all rights in relation to our copyright and all rights are reserved to any of our registered and unregistered trademarks which appear on the Services. The Services or any portion thereof may not be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any purpose without our express written consent.

We are not responsible for anything another user posts on the Services. However, we reserve the right to remove, edit or modify any Content whenever we want for any reason, or to remove or block any Content from the Services.

License Grants

Subject to these Terms of Use, we grant each user of the Services a worldwide, non-exclusive, non-sublicensable and non-transferable license to use Content solely for personal, non-commercial purposes. Use, reproduction, modification, distribution or storage of any Content for other than personal, non-commercial use is expressly prohibited without prior written permission from us or from the copyright holder. You shall not sell, license, rent, reverse engineer, decompile, or otherwise use or exploit the Service, including any of its individual components, any application, or Content.

By submitting User Content through the Services, you grant us a worldwide, non-exclusive, royalty-free, fully paid, sublicensable and transferable license to use, edit, modify, reproduce, distribute, prepare derivative works of, display, perform, and otherwise fully exploit the User Content in connection with the Services and our business, including for promoting and redistributing part or all of the Services in any media formats and through any media channels. You represent and warrant that you have all rights to grant such licenses to us without infringement or violation of any third-party rights.

Compensation Structure

Compensation for your services will be provided on a per-notice basis. The specific trigger for payment (either the issuance of a parking notice or the successful payment of an issued parking notice by the recipient) will be determined by the enforcement method applied at the respective location.

Dynamic Payment Amounts

The amount payable per parking notice is not fixed and will vary by location. These dynamic payment amounts will be clearly displayed to you for each specific location prior to your engagement in issuing any parking notices at the location. Issuing notices on a given location signifies your agreement to the displayed payment rate for that location.

Payment Trigger

For Tire Tag enforcement methods, payment will be triggered upon the successful payment of an issued notice. For all other enforcement methods, payment will be triggered upon the issuance of a valid parking notice.

Refunds

All refunds must be disputed and processed through the Service and in accordance with the applicable refund policy. Taggr Solutions LLC reserves the right to issue refunds at its sole discretion. As an independent contractor/1099, refunds will only ever be deducted from your payout if the refund is issued due to negligence on the User’s behalf. If the refund is issued after the original payment has been paid out to the User’s bank account, the refund amount will be withheld from the User’s next payout.

Taxes

You are solely responsible for keeping the information in your tax forms current, complete and accurate. As a user of Taggr Solutions LLC, if you earn more than $600 (or another amount prescribed by relevant tax authorities), we will send you a year-end IRS Form 1099 reflecting the amount earned. You are solely responsible for determining your applicable tax reporting requirements and remitting to the relevant authority any taxes received by you. We cannot and do not offer tax-related advice to any users.

Modification to the Agreement

Taggr reserves the right to modify the Terms of Use of this Agreement, and such modifications shall be binding on you only upon your acceptance of the modified Agreement. Taggr reserves the right to modify any information on pages referenced in the hyperlinks from this Agreement from time to time, and such modifications shall become effective upon posting. We encourage you to review these Terms of Use periodically to stay informed of any modifications. Your continued use of this Website is acceptance of any modifications or updates.

Taggr Communications

By entering into this Agreement or using the Taggr platform, you agree to receive communications from us, our affiliates, or our third-party partners, at any of the phone numbers provided to Taggr by you or on your behalf, and also via email, text message, calls, and push notifications. Communications from Taggr may include: operational communications concerning your User account or use of the Taggr platform, updates concerning new and existing features, communications concerning marketing or promotions run by us or our third-party partners, and news concerning Taggr and industry developments.

IF YOU WISH TO OPT OUT OF PROMOTIONAL EMAILS, YOU CAN UNSUBSCRIBE FROM OUR PROMOTIONAL EMAIL LIST BY FOLLOWING THE UNSUBSCRIBE OPTIONS IN THE PROMOTIONAL EMAIL ITSELF.

Your Information

Your Information is any information you provide, publish or post to or through the Taggr Platform (including any profile information you provide) or send to other Users. You consent to JazzHR in partnership with Taggr Solutions collecting information necessary for the 1099 tax process, and consent to us using your Information to create a User account. Our collection and use of personal information in connection with the Taggr Platform is as provided in Taggr’s Privacy Policy. Taggr does not assert any ownership over your Information; rather, as between you and Taggr, subject to the rights granted to us in this Agreement, you retain full ownership of all of your Information and any intellectual property rights or other proprietary rights associated with your Information.

Promotions, Referrals, and Loyalty Programs

Taggr, at its sole discretion, may offer promotions, referral programs and loyalty programs with different features to any Users or prospective Users. Taggr reserves the right to withhold or deduct credits or benefits obtained through a promotion or program in the event that Taggr determines or believes that the redemption of the promotion or receipt of the credit or benefit was in error, fraudulent, illegal, or in violation of the applicable promotion or program terms or this Agreement. Taggr reserves the right to terminate, discontinue, modify or cancel any promotions or programs at any time and at its sole discretion without notice to you if any event occurs that prevents Taggr from completing such promotion, including acts of God, war, government action, epidemic or pandemic, or other events beyond the reasonable control of Taggr.

Restricted Activities

You agree that you will not, and will not assist or enable others to:

  1. 1.Impersonate any person or entity;
  2. 2.Stalk, threaten, or otherwise harass any person, or carry any weapons;
  3. 3.Violate any law, statute, rule, permit, ordinance, or regulation;
  4. 4.Interfere with or disrupt the Taggr Platform or the servers or networks connected to the Taggr Platform;
  5. 5.Post information or interact on the Taggr Platform in a manner which is fraudulent, libelous, abusive, obscene, profane, sexually oriented, harassing, or illegal;
  6. 6.Use the Taggr Platform in any way that infringes any third party's rights including: intellectual property rights, copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy;
  7. 7.Post, email or otherwise transmit any malicious code, files or programs designed to interrupt, damage, destroy or limit the functionality of the Taggr Platform or any computer software or hardware or telecommunications equipment or surreptitiously intercept or expropriate any system, data or personal information;
  8. 8.Forge headers or otherwise manipulate identifiers in order to disguise the origin of any information transmitted through the Taggr Platform;
  9. 9."Frame" or "mirror" any part of the Taggr Platform, without our prior written authorization or use meta tags or code or other devices containing any reference to us in order to direct any person to any other website for any purpose;
  10. 10.Modify, adapt, translate, reverse engineer, decipher, decompile or otherwise disassemble any portion of the Taggr Platform;
  11. 11.Rent, lease, lend, sell, redistribute, license or sublicense the Taggr Platform or access to any portion of the Taggr Platform;
  12. 12.Use any robot, spider, site search/retrieval application, or other manual or automatic device or process to retrieve, index, scrape, "data mine", copy, access, acquire information, generate impressions or clicks, input or store information, search, monitor any portion of the Taggr Platform, or in any way reproduce or circumvent the navigational structure or presentation of the Taggr Platform or its contents;
  13. 13.Link directly or indirectly to any other websites;
  14. 14.Transfer, lend, or sell your User account, password and/or identification, or any other User's Information to any other party;
  15. 15.Use a false email address or other identifying information, impersonate or misrepresent any person or entity, or your affiliation with any person or entity, or otherwise omit, misrepresent, or mislead as to the origin or source of any entity accessing the Taggr Platform;
  16. 16.Discriminate against or harass anyone on the basis of race, national origin, religion, gender, gender identity or expression, physical or mental disability, medical condition, marital status, age or sexual orientation;
  17. 17.Commercialize the "Enforcement Services" or our Taggr Platform without an agreement directly with Taggr;
  18. 18.Circumvent any measures implemented by Taggr to prevent or address violations of this Agreement; or
  19. 19.Cause any third party to engage in the restricted activities above.
  20. 20.Should you suspect that any unauthorized party may be using your User account or you suspect any other breach of security or violation of this Agreement, you agree to notify us immediately.

Intellectual Property

All intellectual property rights in and to the Taggr Platform shall be owned by Taggr Solutions LLC absolutely and in their entirety. These rights include database rights, inventions and patentable subject-matter, patents, copyright, design rights, trademarks (whether registered or unregistered) and other similar rights wherever existing in the world. All other trademarks, logos, service marks, company or product names set forth in the Taggr Platform are the property of their respective owners.

If you provide enforcement services as a Taggr, Taggr grants to you, during the term of this Agreement, a limited, revocable, non-exclusive license to display and use the Taggr Marks solely on Taggr-branded items provided by Taggr directly to you. The Taggr logo or any Taggr Marks may not be used in any manner that is likely to cause confusion, including use in a domain name, referral code, or social media handle, avatar, profile photo, icon, favicon, or banner. You may identify yourself as a Taggr on the Taggr Platform, but may not misidentify yourself as Taggr, an employee of Taggr, or a representative or agent of Taggr.

Taggr respects the intellectual property of others and expects Users to do the same. If you believe, in good faith, that any materials on the Taggr Platform infringe upon your copyrights, please email admin@taggrsolutions.com.

Disclaimers

Taggr does not provide parking enforcement services, and Taggr is not an enforcement company. It is at the discretion of the independent contractors/1099s who issue notices to decide their schedule and site visits, which is documented through a check-in and check-out process. We have no control over the quality or safety of the “enforcement solutions.”

The Taggr Platform is provided on an “as is” basis and without any warranty or condition, express, implied, or statutory. We do not guarantee and do not promise any specific results from use of the Taggr Platform. To the fullest extent permitted by law, we specifically disclaim any implied warranties of title, merchantability, fitness for a particular purpose and non-infringement.

We do not warrant that your use of the Taggr Platform will be accurate, complete, reliable, current, secure, uninterrupted, always available, or error-free. We disclaim liability for, and no warranty is made with respect to, connectivity, availability, accuracy, completeness, and reliability of the Taggr platform. You are responsible at all times for your conduct and the consequences of your conduct while using the Taggr Platform.

Taggr is not responsible for the conduct, whether online or offline, of any User of the Taggr Platform. You are solely responsible for your interactions with other Users. By using the Taggr Platform, you agree to accept such risks and agree that Taggr is not responsible for the acts or omissions of Users on the Taggr Platform.

Limitation of Liability

In no event will Taggr, including our affiliates, subsidiaries, parent companies, successors and assignees, and each of our respective officers, directors, employees, agents, or shareholders (collectively “Taggr Parties”), be liable to you for any incidental, special, exemplary, punitive, consequential, or indirect damages (including damages for deletion, corruption, loss of data, loss of programs, failure to store any information or other content maintained or transmitted by the Taggr platform, service interruptions, or for the cost of procurement of substitute services) arising out of or in connection with the Taggr platform or this Agreement, however arising including negligence, even if Taggr, the Taggr Parties or our agents or representatives know or have been advised of the possibility of such damages. Taggr has no responsibility or liability for any damages arising out of or in connection with enforcement services.

Terms and Termination

This Agreement is effective upon your acceptance of this Agreement. This Agreement may be terminated: (a) by User, without cause, upon 14 days’ prior written notice to Taggr or (b) by either Party upon notice and thirty (30) days’ to cure, if the other Party materially breaches this Agreement. In addition, Taggr may terminate this Agreement or deactivate your User account immediately in the event: (1) you are no longer eligible to qualify as a User; (2) you no longer qualify to provide services for the company; (3) Taggr has the good faith belief that such action is necessary to protect the safety of the Taggr community or affiliated third parties. You will be given notice of the potential or actual deactivation and an opportunity to attempt to cure the issue to Taggr’s reasonable satisfaction prior to Taggr permanently terminating the Agreement.
